1. Acceptance of Terms
By accessing and using Lion Professional Services LLC's ("LionPR") services, you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. All official communications should be directed to support@lionpr.co.
2. Description of Service
LionPR provides press release distribution services that deliver your announcements to news outlets, journalists, and media platforms including Google News, Yahoo Finance, and 200+ premium news sites. We also offer editorial review, SEO optimization, and analytics tracking.
3. User Accounts
You must create an account to use our services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4. Content Guidelines
You agree that all press releases you submit will:
- Be truthful, accurate, and not misleading
- Not violate any laws or regulations
- Not infringe on any third-party intellectual property rights
- Not contain defamatory, obscene, or offensive content
- Comply with all applicable laws and regulations
5. Payment Terms
You agree to pay all fees associated with your selected service plan. Payments are processed securely through our payment providers. All sales are final, and refunds are provided only in accordance with our refund policy.
6. Distribution Guarantee
LionPR guarantees distribution to our proprietary network of news sites and media platforms. Specific guaranteed outlet placements are limited exclusively to those outlets explicitly listed in your selected pricing tier or as specified in a custom service agreement. All guaranteed outlets are clearly identified in the pricing documentation for each tier.
6.1 Service Delivery Timelines
Timeline Guidelines: All stated delivery timelines (including but not limited to "48 hours," "48+ hours," or any other specified timeframes) are estimates and guidelines only, not guarantees. Actual publication times may vary and exceed listed timeframes due to factors beyond LionPR's control, including but not limited to: (1) editorial review processes and standards of third-party publications; (2) content quality requirements and compliance standards of individual outlets; (3) technical issues, system maintenance, or platform delays; (4) volume of submissions and publication queues; and (5) editorial discretion of media outlets to accept, reject, or delay publication.
Publication Standards: Each media outlet maintains its own editorial standards, content requirements, and publication criteria. Your submitted content must meet these standards for publication to occur. LionPR does not control and cannot guarantee that your content will meet every outlet's specific requirements. If content does not meet an outlet's standards, publication may be delayed, modified by the outlet, or declined entirely. Such delays or modifications do not constitute a breach of service or grounds for refund unless they affect guaranteed outlet placements as defined in Section 7.
6.2 Content Modification and Takedown Policy
No Edits After Submission: Once your press release or content has been submitted for distribution, LionPR cannot make any edits, modifications, revisions, or changes to the content. This limitation exists because content is immediately distributed to third-party publications and media outlets that operate independently of LionPR. You are solely responsible for ensuring the accuracy, completeness, and correctness of all content prior to submission.
No Takedowns or Removals: After publication, LionPR cannot remove, take down, delete, or retract your press release from any media outlet or publication. Published content becomes part of the permanent public record maintained by independent third-party publishers. LionPR has no authority or ability to compel these independent publishers to remove content once published. Any requests for content removal must be directed to the individual publications where the content appears, and such requests are subject to each publication's own policies and editorial discretion.
Corrections and Updates: If you discover an error, inaccuracy, or need to update information after publication, your sole remedy is to issue a new, separate press release that: (1) clearly identifies the previous statement or information that was incorrect; (2) provides the accurate, corrected information; and (3) explains the nature of the correction. This new press release will be treated as a separate service order and will be subject to all applicable fees for your selected service tier. LionPR makes no guarantee that the corrective press release will be published by the same outlets that published the original content.
Pre-Submission Review: Given the permanent and irreversible nature of press release distribution, you are strongly advised to: (1) thoroughly review all content for accuracy before submission; (2) verify all facts, figures, dates, names, and statements; (3) obtain all necessary approvals from relevant stakeholders; (4) ensure compliance with all applicable laws and regulations; and (5) consult with legal counsel if your content involves sensitive, controversial, or legally significant matters. By submitting content, you acknowledge and accept full responsibility for its accuracy and consequences.
7. Refund Policy
Guaranteed Outlet Refunds: Refunds will only be issued if LionPR fails to deliver placement on the specific guaranteed outlets designated for your purchased tier. All guaranteed outlets are explicitly listed in the pricing documentation for each service tier (Syndication, Authority, Elite, or Custom).
Tier-Specific Guarantees: For the Authority tier, guaranteed outlets include Fox Affiliated Sites, Digital Journal, and Street Insider. For the Elite tier, guaranteed outlets include Yahoo Finance, Business Insider, MarketWatch, and Morning Star (in addition to all Authority tier outlets). Custom tier guarantees are defined in your service agreement.
Non-Guaranteed Outlets: No refunds will be granted for failure to obtain placement on any outlet not explicitly guaranteed in your tier's documentation. Editorial decisions by third-party publications are beyond LionPR's control, and placement on non-guaranteed outlets is not warranted.
Refund Request Process: All refund requests must be submitted in writing to support@lionpr.co within thirty (30) days of service delivery. Requests must include: (1) order number and service tier purchased; (2) specific guaranteed outlet(s) where placement was not achieved; and (3) supporting documentation. LionPR will investigate all legitimate refund requests and respond within fifteen (15) business days.
Refund Limitations: Refunds are limited to the service fee paid and do not include any consequential, incidental, or indirect damages. Partial refunds may be issued on a pro-rata basis if some, but not all, guaranteed outlets were achieved.
8. Dispute Resolution Policy
Mandatory Pre-Dispute Contact: Prior to initiating any formal dispute, arbitration, legal action, or chargeback, you must: (1) contact LionPR at support@lionpr.co with a detailed description of your concern; (2) allow LionPR a minimum of fifteen (15) business days to investigate and respond to your inquiry; and (3) engage in good faith negotiations to resolve the matter. Failure to follow this mandatory dispute resolution process constitutes a waiver of your right to dispute the charges and may result in immediate termination of services.
Prohibited Chargebacks: You expressly agree that initiating a chargeback, payment reversal, or dispute with your financial institution without first exhausting the dispute resolution process outlined above is strictly prohibited and constitutes a material breach of this agreement. All payment disputes must be directed to LionPR's official support email at support@lionpr.co before pursuing any action with your payment provider.
Consequences of Unauthorized Chargebacks: LionPR reserves all rights under applicable law to pursue civil and legal remedies against any party who initiates a fraudulent, bad faith, or unauthorized chargeback. This includes, but is not limited to: (1) immediate termination of all services and account access; (2) collection of all outstanding amounts plus reasonable attorney fees, court costs, and collection expenses; (3) civil action for breach of contract, fraud, and any other applicable claims; (4) reporting to credit bureaus and fraud prevention agencies; and (5) pursuit of any other legal remedies available under federal or state law.
Arbitration Agreement: Any disputes that cannot be resolved through the mandatory pre-dispute process shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action lawsuit. The arbitration shall take place in the jurisdiction where Lion Professional Services LLC is registered, and the prevailing party shall be entitled to recover reasonable attorney fees and costs.
Indemnification: You agree to indemnify, defend, and hold harmless Lion Professional Services LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from or related to any unauthorized chargeback or payment dispute you initiate in violation of this agreement.
9. Intellectual Property
You retain all rights to the content you submit. By using our services, you grant LionPR a license to distribute, display, and promote your press releases through our network. LionPR retains all rights to its platform, technology, and branding.
10. Limitation of Liability
LionPR shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services. Our total liability shall not exceed the amount you paid for the specific service in question.
11. Termination
We reserve the right to suspend or terminate your account if you violate these terms or engage in fraudulent or abusive behavior. You may cancel your account at any time by contacting us.
12. Changes to Terms
We may modify these terms at any time. We will notify you of significant changes by email or through our platform. Your continued use of our services after such modifications constitutes acceptance of the updated terms.
13. Governing Law
These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Lion Professional Services LLC operates, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
